These terms apply to the ReplyAvenue website and client workspace, operated by Firmwise. By using them, you agree to these terms. If you use a workspace on behalf of an organization, you must be authorized to do so.

Access and service arrangements

Client workspaces are available by invitation or authorization. Keep your sign-in details confidential and notify us if you suspect unauthorized access. You may only connect accounts and access information you have permission to use.

A separate written client or service agreement governs purchased services, fees, scope of work, and any agreed commitments. That agreement takes precedence over these terms if they conflict. This website does not create a subscription, purchase, or service commitment.

Responsible use

Use the service lawfully and comply with the rules of connected email providers. You are responsible for having the necessary rights and lawful basis for uploaded information and communications, honoring applicable opt-out requests, and ensuring that content and recipient lists are appropriate for their intended use.

Do not impersonate others, send deceptive or unlawful communications, upload malicious code, bypass access controls, access another client’s information without permission, or disrupt the service. We may restrict access to address misuse, a security issue, a legal requirement, or the end of a client engagement.

Your content and our website

You and your organization retain your rights in the content and data you supply. You authorize Firmwise and its service providers to process that material as needed to deliver the requested service and as described in the Privacy Policy and any applicable agreement.

ReplyAvenue website materials, design, and branding belong to Firmwise or the relevant rights holders. These terms do not transfer ownership of either party’s intellectual property.

Connected services

Workspace features may rely on hosting, email, or other service providers. Their availability, limits, and applicable terms can affect the service. Connecting an account does not override that provider’s rules. You can withdraw a connection, although doing so may stop related features from working.

Availability and responsibility

Unless a separate agreement says otherwise, the website and workspace are provided as available, without a promise of uninterrupted operation or a particular campaign outcome. To the extent allowed by law, Firmwise disclaims implied warranties and is not responsible for indirect or consequential loss arising from use of the service. Nothing in these terms excludes liability or rights that cannot legally be excluded, or overrides commitments in a signed client agreement.

Changes and applicable law

We may update these terms as the service changes and will revise the date shown here. We will provide additional notice where required. Unless a separate agreement specifies otherwise, Texas law applies, with disputes handled in the courts of Tarrant County, Texas, subject to any mandatory rights under applicable law.
